OVERVIEW These are the Terms of Use (“Terms”) for Pathwater, Inc. d/b/a Pathwater (“Pathwater”). These Terms apply when you visit our website at drinkpathwater.com or any associated pages (our “website”), interact with us in any way, become a vendor or content creator, shop online, download and use our mobile application, "my PATH" (the "App"), or use any of our products or services (collectively, our “services”).

These Terms, along with our Privacy Policy and any other legal notices, constitute the entire agreement between you and Pathwater, superseding any prior agreements with respect to our services.

By using our website or any of our services, you agree to these Terms. If you do not agree, please stop using the website and services immediately. Pathwater reserves the right to refuse service to anyone for any reason at any time.

AGE RESTRICTIONS By agreeing to these Terms, you certify that you are either (i) 18 years of age or older, or (ii) at least 13 years of age and using the website under the supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf. If you are under 13 you are not permitted to use the website. If you are a parent or legal guardian agreeing on behalf of a minor, you accept full responsibility for that minor’s use of the website, including financial charges and legal liability.

REPRESENTATIONS AND WARRANTIES TO PATHWATER By using our services you represent, warrant, and agree that:

• You meet the age and eligibility requirements described above.

• You purchase products purely for personal, non-commercial use. You will not buy products for resale, distribution, or other business purposes.

• You will use our services only for lawful purposes.

• You will not use our services to cause nuisance, annoyance, or inconvenience.

• You will not impair or harm the proper operation of our services.

• You will not copy or distribute any content from our services without written permission from Pathwater.

• You will not resell any portion of the services or access to them to third parties without written permission.

• You own or control all rights to any information or property you share with us.

• You will provide verification of identity if reasonably requested.

• You have not previously been suspended or removed from our services.

• Your use of our services complies with all applicable laws and regulations.

• You will not transmit any destructive code, such as viruses, worms, or malicious software.

• You will not reproduce, duplicate, copy, sell, resell or exploit any portion of the website, services, or any contact on the website, without express written permission from Pathwater.

Pathwater reserves the right to correct errors, inaccuracies, or omissions, and to change or update information or cancel orders if information on the website is inaccurate. Pathwater does not commit to updating or clarifying information, including pricing or availability, except as required by law.

HEALTH AND WELLNESS DISCLAIMER The PATH app and related services are intended for informational and motivational purposes only. PATH provides general wellness and hydration guidance based on publicly available sources (such as the National Academies of Sciences). However, the app is not a medical device, and hydration goals are not intended as medical advice, diagnosis, or treatment. Always consult your physician or a qualified healthcare provider before making changes to your hydration, diet, or health routine. You assume all risk associated with participating in hydration tracking and physical challenges.

COMMUNICATIONS By using the website and services, you consent to receive electronic communications from Pathwater. You may opt out of certain notifications by following the opt-out instructions in those messages. If you opt out, Pathwater may be unable to send some information. Pathwater does not guarantee that item descriptions or other content on the website is accurate, complete, reliable, current, or error-free. If a product differs from its description, your sole remedy is to return it unused for a refund.

LIMITS ON SALES AND OFFERS Pathwater reserves the right to limit or refuse sales of products or services to any person, geographic region, or jurisdiction. We may limit the quantity of products offered. All descriptions of products, services, and related pricing are subject to change at Pathwater’s discretion without notice. Pathwater may discontinue any product or service at any time. Any offer on the website is void where prohibited.

Pathwater makes no warranty that the quality of any product, service, information, or other material obtained via the website will meet your expectations. Pathwater may modify or discontinue services without notice. Pathwater is not liable to you or any third party for any modification, price change, suspension, or discontinuation of services.

KARMA POINTS AND REWARDS Users of the "my PATH" app may accumulate "Karma Points" by engaging with the app. By participating in the rewards program, you agree to the following:

• Karma Points have no cash value, are non-transferable, and cannot be exchanged for currency.

• Rewards are issued as single-use promotional or discount codes fulfilled via PATH’s Shopify store. Any mention of "gift cards" within the app or marketing materials refers strictly to these promotional discount codes.

• Promotional codes are subject to expiration dates, availability, and specific redemption terms. They do not constitute prepaid gift certificates or stored-value cards under applicable laws.

• Pathwater reserves the right to modify, suspend, or terminate the Karma points system, user balances, or the rewards program at any time, for any reason, at its sole discretion.

USER-GENERATED CONTENT (UGC) The App may allow you to submit, upload, or share content, including but not limited to text, notes, and photographs (e.g., submitting locations for the refill locator feature) ("User Content"). By submitting User Content, you grant Pathwater a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content as well as associated analytics and metadata in any media, for any purpose, including for app analytics, marketing, and improving services. You represent and warrant that you own or control all rights to the User Content you submit and that it does not violate any third-party rights. Pathwater reserves the right (but not the obligation) to review, moderate, approve, or remove any User Content at its sole discretion prior to or after it is posted on the App.

THIRD-PARTY LINKS AND SOURCES The website may include content, products, or services from third parties. Third-party links may direct you to sites not affiliated with Pathwater. Pathwater is not responsible for third-party content, accuracy, or liability for third-party products or services. Any dealings, transactions, or correspondence with third parties via the website are solely between you and the third party. Pathwater disclaims all liability in connection with third-party content or services.

If you access the website through third-party platforms (such as mobile app stores), those platforms’ terms and policies apply in addition to these Terms.

MOBILE APPLICATION (APP STORES) If you download the App through an app store (such as the Apple App Store or Google Play Store), you acknowledge that these Terms are between you and Pathwater, not the app store provider. The app store provider is not responsible for the App, its content, maintenance, support, or any warranty claims. You agree to comply with all applicable third-party terms of agreement (e.g., Apple’s or Google's terms) when using the App.

INTELLECTUAL PROPERTY Website Content, Software and Trademarks All content on the website, including text, images, designs, and software, may be protected by copyright, trademark, trade secret, or other proprietary rights. Except as expressly permitted by Pathwater in writing, you agree not to modify, copy, scrape, rent, lease, loan, sell, distribute, or create derivative works based on the website or any portion of its content. You may not access the website through automated tools, scraping tools, or other data-gathering methods.

The "Pathwater" name and logos are trademarks of Pathwater. Nothing in these Terms grants you any license or right to use Pathwater trademarks without prior written permission. All goodwill generated from Pathwater trademarks belongs exclusively to Pathwater.

Third-Party Material Pathwater is not liable for third-party content on or accessible through the website, including user-generated content. Pathwater has no obligation to pre-screen content but reserves the right to remove content it deems inappropriate or in violation of these Terms. You accept all risk associated with the use of third-party content or materials, including their accuracy, completeness, or reliability.

Feedback Provided to Us Any feedback, ideas, suggestions, or other information you submit to Pathwater via the website is non-confidential. Pathwater may use and disseminate such feedback for any purpose without obligation to you. Pathwater may preserve or disclose content if required by law or to enforce these Terms, protect rights, safety or property, or for security reasons.

COPYRIGHT POLICY Pathwater respects the intellectual property of others. If Pathwater receives a valid notice of alleged copyright infringement (meeting requirements under the U.S. Digital Millennium Copyright Act “DMCA”), Pathwater will act promptly to remove or disable access to the allegedly infringing material. Pathwater may terminate access for repeat infringers. Pathwater reserves the right to remove content claimed to be infringing without prior notice, at its sole discretion, with no liability to you.

If content is removed due to a claim and you believe this was a mistake, you may submit a counter-notification as allowed under DMCA. Please follow instructions provided by Pathwater’s designated agent. If you knowingly misrepresent non-infringement, you may be liable for damages.

INDEMNIFICATION You agree to release, indemnify, and hold harmless Pathwater, its affiliates, officers, employees, directors, members, agents and representatives from any losses, claims, damages, liabilities, costs and expenses (including reasonable attorney fees) arising out of or related to your use of the website or services, or your violation of these Terms.

DISCLAIMER OF WARRANTIES YOUR USE OF THE WEBSITE AND SERVICES IS AT YOUR SOLE RISK. THE WEBSITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” PATHWATER EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY — INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

PATHWATER DOES NOT GUARANTEE THAT THE WEBSITE OR SERVICES WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT RESULTS WILL BE ACCURATE OR RELIABLE. PATHWATER DOES NOT GUARANTEE QUALITY, VALUE, OR THAT PRODUCTS OR SERVICES WILL MEET YOUR EXPECTATIONS.

LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY LAW, PATHWATER WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES — ARISING FROM YOUR USE OR INABILITY TO USE THE WEBSITE OR SERVICES, EVEN IF PATHWATER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. PATHWATER’S TOTAL LIABILITY TO YOU FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF: (i) the amount you have paid Pathwater for the last six (6) months, or (ii) one hundred U.S. dollars (US $100). Some jurisdictions do not allow exclusion of certain warranties or limitation of liability. If so, some provisions above may not apply. Your sole remedy for dissatisfaction is to stop using the website and services.

GENERAL PROVISIONS Modifications Pathwater may modify these Terms at any time. Updated Terms will be posted on the website with a new effective date. Continued use of the website or services after changes go into effect constitutes acceptance of the updated Terms.

Governing Law; Jurisdiction These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. You and Pathwater agree to submit to the exclusive jurisdiction of the state or federal courts located in Los Angeles County, California for any dispute not subject to mandatory arbitration (if any). Pathwater may assign or transfer these Terms in whole or in part without your consent.

No Waiver Failure by Pathwater to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.

Severability If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full effect. The parties agree the court should interpret the invalid provision to reflect the original intent to the extent permitted by law.

Claim Limitations Any claim or cause of action arising from your use of the website, services, or these Terms must be filed within one (1) year after the claim arises or be barred permanently, unless law requires a different period.

2026 PATH® STATE BOTTLES SWEEPSTAKES

OFFICIAL RULES

 

NO PURCHASE NECESSARY.  Void where prohibited.  Open only to legal residents of the U.S., 18 years or older (19 in AL and NE) at the time of entry. MULTPLE ENTRY DEADLINES APPLY.

1. SWEEPSTAKES PERIOD: The 2026 Path State Bottles Sweepstakes (the “Sweepstakes”) begins at 6:00 a.m. Pacific Time (“PT”) on 8/31/2026 and ends at 11:59 p.m. PT on 9/27/2026 (“Sweepstakes Period”).  The time clock of the Sweepstakes Sponsor’s computer is the official clock for this Sweepstakes. See Section 5 for the multiple Entry Periods within the Sweepstakes Period. During the Sweepstakes Entry Period, Sponsor will post a call to action (1 static in-feed post) to enter the Sweepstakes (the “CTA Post”) from the @Pathwater Instagram account. As soon as the applicable CTA Post is issued, eligible entrants may participate in the Sweepstakes as provided herein

2. ELIGIBILITY:   Only open to legal residents of the U.S. residing in one (1) of the 50 United States, who are eighteen (18) years or older (19 in AL and NE) at the time of entry and prize awarding. Employees, officers, directors, representatives and agents of Pathwater, Inc. (“Sponsor”), its bottlers, distributors (the “Promotion Parties”), and the immediate family members (spouse, parent, child, sibling, grandparent and/or “step”) of each and those residing in the same household are not eligible. Eligibility may be verified at any time.

3. HOW TO ENTER: You must be a registered member of Instagram with a public profile to participate. Becoming a member of Instagram is free. If you are not a registered account holder, please visit the Instagram app or go to Instagram.com to register for an account. Registration for and use of this platform is subject to its respective terms and conditions, and Sponsor has no responsibility with respect to such registration or use or enforcement of such terms and conditions.

After the CTA Post is made on the Instagram Account listed in Section 1 during a Sweepstakes Entry Period, you may enter by completing the following steps:

(a) Follow the @Pathwater Instagram account.

(b) Comment on the applicable CTA post, telling us your favorite place in the State that is mentioned in the CTA post,  and @mentioning a friend who is 18 years or older and a legal resident of one of the 50 United States or D.C. and who has consented to being @mentioned by you in connection with entry into the Sweepstakes.

(c) Include the hashtag #PATHSweepstakes with your comment.

Any entry or portion thereof that is, in the Sponsor's sole discretion, inconsistent with Sponsor's desired image, offensive, obscene, profane, lewd, defamatory, contains any proper names, third party materials, or otherwise violates or infringes (or may infringe) any copyright, trademark, logo, mark that identifies a brand (other than Sponsor’s) or other proprietary right of any entity or person living or deceased (including but not limited to rights of privacy or publicity or portrayal in a false light), or is otherwise objectionable, will not be accepted as an Entry and may disqualify entrant from further participation in the Sweepstakes. In addition, hashtag MUST be included in order for your entry to be eligible. By using the Hashtag, you are consenting to receive direct messages to the social media account(s) used for entry, if you are selected as a potential winner.

 

Once you have complied with all of the entry requirements set forth above, you will receive one (1) entry (“Entry”) into the corresponding Entry Period described in Section 4 below.

Limit fifteen (15) Sweepstakes Entries per Instagram Account during an Entry Period. Entries are only eligible for the Drawing associated with the Entry Period during with Entry was submitted.

 

Participation constitutes entrant’s full and unconditional agreement to these Official Rules and Sponsor’s decisions and interpretations, which are final and binding in all matters related to the Sweepstakes. Use of any automated and/or repetitive system (including but not limited to script, macro or bot) or sweepstakes service to enter will result in disqualification of the entrant and all of his/her/their entries. 

NOTE ABOUT MOBILE DATA CHARGES: When you participate in the Sweepstakes via a mobile device standard data rates may apply according to the terms and conditions of your service agreement with your wireless carrier. A mobile device is not required to enter.

Sponsor is not responsible for misspellings, typographical errors, or other issues that may affect the ability to locate or record an Entry. Entries must comply with these Official Rules and the Instagram Terms of Use and Community Guidelines found at https://www.instagram.com/legal/terms. In the event of a conflict between the Sweepstakes Official Rules and Instagram Terms of Use and Community, the Sweepstakes Official Rules shall govern.

All entrants must have a valid email address. The name of the person submitting the entry into the Sweepstakes must be the authorized account holder of the social media account used to enter or Entry may be deemed void. Multiple entrants may not share the same social media account. In the event of a dispute over the identity of an entrant, the Entry will be declared made by the authorized account holder of the email address or social media account associated with the Entry submitted. The potential winner may be required to provide identification sufficient to show that they are the authorized account holder of such social media account, as applicable.

4. PRIZES:  Four (4) Grand Prizes will be awarded, one (1) for each Entry Period. Each Grand Prize consists of a check for $4,000 to be used towards a trip for two (2) to the State associated with the corresponding Entry Period. Approximate Retail Value (“ARV”) of each Grand Prize: $4,000. (The value of the Grand Prize is based on the current estimated costs for airfare for 2, three nights hotel accommodations and a $500 travel stipend.).

5. DRAWINGS: Potential winners will be selected in random drawings, as detailed in the chart below, from among all eligible entries received during each Entry Period. Odds of winning depend upon the number of eligible Entries received during the Entry Period. One Grand Prize will be awarded for each Entry Period. The random drawings will be conducted by an independent judging agency, whose decisions are final and binding. Limit one (1) prize per person/household during the entire Sweepstakes Period.  All claimed prizes will be awarded. Unclaimed prizes may not be awarded. Non-winning Entries will not be eligible for subsequent drawings.

6. WINNER NOTIFICATION: Potential winners will be notified by direct message to the social media account used for entry, within twenty-four (24) hours of the Drawing (“Winner Notification”). Potential Grand Prize winner will be required as requested in the Winner Notification within twenty-four (24) hours of the Winner Notification, and may be required to sign and return, where legal, an Affidavit of Eligibility and Liability/Publicity Release and IRS W-9 form (collectively “Prize Claim Forms”), within that same time-frame, or prize will be forfeited and may be awarded to an alternate winner, in Sponsor’s sole discretion. Sponsor will attempt to notify each potential winner as set forth above, but Sponsor is not responsible for any undelivered direct messages. including without limitation, direct messages that are not received because of a winner’s privacy settings on their social media account. Prizes that are unclaimed or returned as undeliverable will not be awarded.  Sponsor is not responsible for suspensions in service that may result in a potential winner not receiving the Winner Notification or any other notices or prizes.  In the event (i) the Winner Notification, or a prize is returned as undeliverable; (ii) the potential winner fails to respond to the Winner Notification as directed; or (iii) a potential winner cannot be verified or is determined to be ineligible or not in compliance with these Official Rules, that potential winner may be disqualified and the prize will be forfeited and may be awarded to an alternate winner, in Sponsor’s sole discretion. Allow up to two (2) to four (4) weeks for delivery of Grand Prize following the notification process.

7. GENERAL: This Sweepstakes is governed by the laws of the United States and of the State of California, without respect to conflict of law doctrines. Void where prohibited or restricted by law. All federal, state and local laws & regulations apply.  Except as determined by Sponsor in its sole discretion, no substitution of prize is offered, no transfer of prize to a third party is permitted, and non-cash prizes may not be redeemed for cash value. Prize winner(s) will be solely responsible for all applicable federal, state and local taxes on prize.  Grand Prize Winner will receive an IRS Form 1099 for the ARV of the prize in 2027. Sponsor reserves the right to substitute a prize of equal or greater value in the event a prize or any portion of a prize becomes unavailable. Any difference between stated ARV of prize and actual value of prize will not be awarded. Any portion of a prize not accepted by winner will be forfeited. Upon forfeiture for any reason as stated in these Official Rules, no compensation will be given. Any personal information provided in connection with participation in the Sweepstakes will only be used by Sponsor to notify a potential winner and/or fulfillment of a prize and shall be subject to Pathwater, Inc.’s Privacy Policy available at https://drinkpathwater.com/pages/privacy-policy .

8. CONDUCT: By participating in this Sweepstakes, participants agree to be bound by these Official Rules and the decisions of the Sponsor, which shall be final and binding in all respects.  Failure to comply with these Official Rules may result in disqualification. Sponsor reserves the right, at its sole discretion, to disqualify any individual found to be tampering with the entry process or the operation of the Sweepstakes; or to be acting in any manner deemed by Sponsor to be in violation of the Official Rules; or to be acting in any manner deemed by Sponsor to be unsportsmanlike or disruptive, or with intent to annoy, abuse, threaten or harass any other person. CAUTION: ANY ATTEMPT BY A USER OR PARTICIPANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE, DESTROY, TAMPER OR VANDALIZE ANY WEBSITE ASSOCIATED WITH THIS SWEEPSTAKES OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR, THE NFL ENTITIES AND THEIR RESPECTIVE AGENTS RESERVE THE RIGHT TO SEEK DAMAGES (INCLUDING ATTORNEYS’ FEES) AND OTHER REMEDIES FROM ANY SUCH PERSON OR PERSONS RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

9. LIMITATIONS OF LIABILITY: Sponsor and Promotion Parties assume no responsibility or liability for (a) any incorrect or inaccurate entry information, or for any faulty or failed electronic data transmissions; (b) any unauthorized access to, or theft, destruction or alteration of entries at any point in the operation of this Sweepstakes; (c) any technical malfunction, failure, error, omission, interruption, deletion, defect, delay in operation or communications line failure, regardless of cause, with regard to any equipment, systems, networks, lines, satellites, servers, camera, computers or providers utilized in any aspect of the operation of the Sweepstakes; (d) inaccessibility or unavailability of any network or wireless service, the Internet or the Website or any combination thereof; (e) suspended or discontinued Internet, wireless or landline phone service;  or (f) any injury or damage to participants or to any other person's computer or mobile device which may be related to or resulting from any attempt to participate in the Sweepstakes or download of any materials in the Sweepstakes. If, for any reason, the Sweepstakes is not capable of running as planned for reasons which may include without limitation, infection by computer virus, tampering, unauthorized intervention, fraud, technical failures, or any other causes, including but not limited to acts of God, pandemics, epidemics, extreme weather conditions, fire, flood, acts of war, terrorism, cyberterrorism, government restrictions, or any other condition beyond Sponsor’s reasonable control (“Force Majeure”), which may corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, then Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Sweepstakes in whole or in part.  In such event, Sponsor shall immediately suspend all drawings and prize awards, and Sponsor reserves the right to award any remaining prizes (up to the total set forth in these Official Rules) in a manner deemed fair and equitable by Sponsor, such as by way of example and not by way of limitation, in a random drawing from among all eligible, non-suspect entries received up to the time of the impairment, and Sponsor shall not have any further liability to any participant in connection with the Sweepstakes. Sponsor may modify and amend these Official Rules as they may appear online from time to time during the Sweepstakes for clarification purposes without materially affecting the terms and conditions of the Sweepstakes. Sponsor reserves the rights, in its sole discretion, to disqualify any entrant (and all of their entries) from this Sweepstakes or any other promotion conducted now or in the future by Sponsor or any of its affiliates if the entrant tampers with the entry process or if their fraud or misconduct affects the integrity of this Sweepstakes. Sponsor makes no representations or warranties of any kind concerning the appearance, performance or safety of any prize awarded.

10. WINNER RELEASES: All entrants, as a condition of entry into the Sweepstakes, agree to release and hold harmless Sponsor, and the Promotion from and against any and all liability, claims or actions of any kind whatsoever for injuries, damages, or losses to persons and property which may be sustained in connection with submitting an entry or otherwise participating in any aspect of the Sweepstakes, the receipt, ownership or use of any prize awarded, or while preparing for, participating in and/or traveling to or from any prize-related activity or any typographical or other error in these Official Rules or the announcement or offering of any prize. The winners shall bear all risk of loss or damage to their prize after it has been delivered. Except where prohibited by law, each winner grants to Sponsor the right to print, publish, broadcast and use worldwide in any media now known or hereinafter known (including without limitation use on Sponsor’s social media accounts) such winner’s name, address, voice, statement, picture or other likeness, without additional compensation, for public relations, advertising and promotional purposes as may be determined by Sponsor.
